1. Acceptance of Terms
Welcome to KaniE Concepts (PVT) Ltd (“KaniE Concepts”, “we”, “our”, or “us”). By accessing our website, requesting a quotation, contracting our services, or engaging with our advertising, branding, event management, and production solutions, you (“Client”, “Customer”, or “User”) agree to be bound by these Terms and Conditions.
If you do not agree to these terms, please refrain from using our website and services. Any specific Master Services Agreement (MSA), Statement of Work (SOW), or written quotation formally accepted by the client will supersede these general terms in case of direct conflict.
2. Services & Scope of Work
KaniE Concepts provides comprehensive creative and marketing solutions across Sri Lanka, including:
- Creative & Graphic Design Solutions (Brand identity, corporate stationery, marketing collateral)
- Advertising & Branding (ATL/BTL campaigns, digital media, brand strategy)
- Event Management & Launches (Corporate events, dealer conventions, product launches)
- Exhibition & Display Solutions (Custom stall design, fabrication, lighting, installation)
- Outdoor Activations & Promotions (Promotional setups, trade roadshows, billboard campaigns)
- Printing & Production Solutions (Offset, digital, large-format printing, signage)
All deliverables, technical specifications, timelines, and budgets are agreed upon in writing through official project proposals and quotations prior to commencement.
3. Quotations, Pricing & Payment Terms
All official quotations issued by KaniE Concepts are valid for thirty (30) calendar days from the date of issue unless specified otherwise.
Advance Payment: A standard advance deposit (typically 50% unless otherwise agreed in writing) is required prior to commencing creative design, procuring raw materials, or beginning physical fabrication.
Milestone & Balance Settlements: For large-scale event setups and fabrication projects, milestone payments apply. Final outstanding balances are due upon handover, event execution, or delivery of approved deliverables.
Taxes & Statutory Levies: Quoted prices are subject to applicable Sri Lankan government taxes and levies where applicable.
4. Intellectual Property & Deliverables
Client Assets: The Client represents and warrants that all trademarks, logos, photographs, copy, and materials provided to KaniE Concepts are owned by the Client or properly licensed. The Client indemnifies KaniE Concepts against any claims of third-party intellectual property infringement resulting from client-supplied materials.
Final Approved Assets: Upon full payment of all related invoices, ownership of final approved design assets is transferred to the Client.
Preliminary Concepts & Drafts: Unselected design concepts, preliminary sketches, unused 3D stall renders, and pitch materials remain the intellectual property of KaniE Concepts (PVT) Ltd. We reserve the right to feature completed non-confidential project imagery and case studies in our portfolio.
5. Client Approvals & Revisions
Design proposals include designated revision rounds as specified in the quotation.
Proof Sign-Off: All final artwork, print proofs, 3D structural stall renders, and material swatches must be formally approved in writing or signed off via email by the Client prior to printing, fabrication, or launch.
KaniE Concepts shall not be held responsible for errors (such as typographical mistakes, incorrect contact numbers, or dimensions) that were present in final proofs approved by the Client.
6. Modifications & Cancellations
Any request to alter or cancel an order must be submitted in writing.
If an order is cancelled by the Client after commencement, the Client shall be liable for all creative design hours completed up to that point, non-refundable supplier deposits, custom procured materials, and fabricated items incurred prior to cancellation.
7. Limitation of Liability & Force Majeure
To the maximum extent permitted by law, KaniE Concepts (PVT) Ltd shall not be liable for any indirect, special, incidental, or consequential damages resulting from the use or inability to use our services.
Force Majeure: Neither party shall be liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, extreme weather conditions, government restrictions, strikes, utility failures, or civil disturbances.
8. Governing Law & Jurisdiction
These Terms and Conditions are governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Colombo, Sri Lanka.
